Role Overview
The Legal & Operations Lead will oversee legal, governance, and operations across Outliers’ funds, operating entities, and SPVs.
This role ensures full regulatory adherence in all jurisdictions, manages internal and external legal workflows, supports LP onboarding and due diligence, and leads the firm’s governance and risk management framework.
The position requires a cross-border understanding of fund structures, legal documentation, and compliance regimes, particularly across KSA, Cayman, and the UAE. The ideal candidate is pragmatic, detail-oriented, and comfortable operating in a fast-paced investment environment.
Key Responsibilities
Legal & Regulatory Affairs
Serve as the primary legal point of contact for all funds, SPVs, and Operating companies matters.
Review and manage legal documents including LPAs, side letters, subscription agreements, NDAs, and advisory contracts.
Coordinate with external counsel across jurisdictions to ensure compliance with local laws and fund regulations.
Monitor and interpret regulatory developments impacting Outliers’ entities and investment operations.
Maintain the firm’s legal documentation repository and version control.
Compliance, Regulation & Risk Management
Develop, implement, and monitor compliance policies and internal controls across all Outliers entities.
Oversee KYC/AML processes, investor onboarding, and regulatory filings (CIMA, CMA, MISA, ADGM, etc.).
Lead Operational Due Diligence (ODD) processes and support LP information requests.
Maintain the risk register and ensure adherence to Outliers’ Risk Framework.
Manage periodic compliance audits and internal reviews.
Ensure timely submission of filings, renewals, and regulatory responses.
Governance & Committees
Oversee the governance structure across funds and SPVs, including board and committee formation.
Prepare and maintain Minutes of Meetings for Investment, Valuation, and Other Committees.
Ensure that decision-making processes align with fund documentation and best governance practices.
Support periodic policy updates, including conflict of interest, code of conduct, and delegation frameworks.
Investor & LP Relations Support
Lead legal and compliance aspects of LP onboarding, side letters, and KYC documentation.
Support LP Operational Due Diligence questionnaires and institutional investor reviews.
Cross-Functional Collaboration
Partner with the Finance, Operations, and Investment teams to ensure smooth execution of fund transactions.
Support cap table management and corporate documentation for portfolio companies.
Oversee insurance coverage, office compliance, and vendor legal documentation.
Support technology-related compliance (e.g., data privacy, contracts, digital record retention).
Requirements:
3–5 years of professional experience in legal and/or fund operations roles within venture capital, private equity, or asset management
Strong understanding of fund structures (GP/LP), cross-border entities, and regulatory frameworks in KSA, Cayman, and the UAE.
Proven ability to manage external counsel and multiple regulatory touch-points.
Excellent written and verbal communication in English and Arabic.
Bonus Qualifications:
Experience working with international fund administrators or regulators.
Exposure to venture capital, M&A, or cross-border structuring.
Familiarity with regulatory technology tools (RegTech, AML/KYC automation).
