The role

We are hiring a legal professional with a M&A specialism to join our Legal team in Singapore. We are open to candidates who have between 3 to 6 years of experience in one or more of the following:

  1. Venture Capital
  2. Private Equity
  3. General Corporate & M&A

This is a hands-on role for a professional looking to move to the buy-side on M&A work, leading the structuring and execution of Openspace’s investment strategy across South East Asia.

You will work closely with the General Counsel, the Legal Director and our Investment professionals and act as the go-to person on legal matters concerning the firm.

Due to the nature of the role, the candidate is required to be qualified in Singapore law.

While we have set out a general guide as to the PQE expectations of the role above, we would welcome applicants outside of this range. However, we ask that applicants be aware that the role would best suit candidates within this experience range.

Your Role & Responsibilities:

  • Work on all aspects of the firm’s investment work, primarily supporting the venture capital, growth capital and crypto and web3 private funds, investing in Series A and beyond as well as exits. Work you will be involved in include: reviewing NDAs, structuring, working with external counsel, developing deal terms, supervising and reviewing due diligence workstreams, executing on definitive deal documents, and monitoring post-closing conditions and covenants.
  • Work with the investment team to support the legal aspects of portfolio company growth and development. You may also have direct contact with portfolio company leaders to share legal perspectives on their plans.
  • Support the firm on new fund launches, including in respect of fund formation and LP negotiations.
  • Support the firm on other general legal matters as these may arise. This includes co-investments and corporate matters relating to fund entities and SPVs.
  • As required, to support the compliance team on any relevant matter.

What we look for

  • The ideal candidate will be Singapore law qualified with corporate/M&A training in a law firm or practice that focuses on Venture Capital investments.
  • 3 to 6 years of experience in asset management (VC/PE) transactions or otherwise general corporate M&A with a focus on investments, acquisitions or joint ventures.
  • Open to candidates currently working in relevant in-house roles.
  • Experience working on regional (South East Asia) transactions is favoured.
  • Comfort in a fast paced, hands on environment with an agile and pragmatic approach to problem solving.
