Role Overview
We are looking for a proactive and detail-oriented Associate – Legal, Compliance & Fund Operations to join our team full-time, on-site in Bengaluru. In this core operational role, you will be deeply involved in both investment deal execution and fund governance. You will directly handle legal diligence, contract vetting, and definitive documentation for investment rounds, alongside managing end-to-end SEBI/RBI regulatory compliance, investor onboarding, and fund accounting workflows.
Key Responsibilities
- 1. Regulatory & Secretarial
- SEBI Compliance: Lead end-to-end SEBI compliance (periodic & event-based) for Category I & II AIFs.
- FEMA / RBI Filings: Manage RBI/FEMA filings (FC-GPR, FLA, ODI, etc.).
- Tax & Corporate Compliance: Oversee fund-level and sponsor-level tax compliance (GST, TDS, Income Tax, ROC/MCA filings).
- Trustee Liaison: Act as primary liaison with the Trustee – prepare CTR, quarterly certificates, and compliance declarations.
- Regulatory Monitoring: Monitor regulatory updates and maintain an internal compliance calendar.
- 2. Investor Onboarding & Governance
- KYC / AML Compliance: Own KYC/AML compliance (PMLA guidelines, KRA/CKYC uploads, periodic remediations).
- LP Operations & Support: Support LP communications – Statements of Account (SOA), drawdown notices, distribution receipts, and tax certificates (Form 64B/64C).
- 3. Fund Operations & Depository
- Depository / RTA Management: Coordinate with CDSL/NSDL and RTAs for ISIN issuance, tripartite agreements, and dematerialisation.
- Portfolio Demat Tracking: Track portfolio companies to ensure timely demat of equity/convertible holdings.
- Fund Accounting & Banking: Manage fund accountant, custodian, and bank workflows – review NAV calculations, capital calls, distributions, and three-way reconciliations.
- 4. Audit, Valuation & Reporting
- Audit Project Management: Project-manage statutory, internal, and PPM audits.
- Valuation Oversight: Liaise with SEBI-registered valuers for periodic portfolio valuation; submit data to benchmarking agencies.
- Data Room Management: Maintain an institutional-grade digital data room (compliance records, financials, constituent documents, and deal legal files).
- 5. Deal Execution & Legal Governance
- Transaction Documentation: Review and vet term sheets, definitive agreements (SHA, SSA, Convertible Notes), and follow-on round documentation for portfolio companies.
- Legal Due Diligence: Coordinate and oversee legal diligence on prospective investments to ensure deal readiness and identify risk factors.
- Contract Vetting: Manage routine legal drafting and review for fund-level operational contracts, vendor agreements, and NDA frameworks.
- Post-Investment Compliance: Track and enforce portfolio company compliance with conditions precedent/subsequent (CPs/CSs) and ongoing corporate governance norms.
- Qualifications & Skills
- Must Have: CS, CA (or Inter-CA) with 2–4 years of core experience in AIF compliance, PE/VC fund operations, or dedicated fund accounting.
- Added Advantage: LL.B / Law Graduate degree or hands-on experience reviewing venture deal documentation (SHA/SSA/Term Sheets).
- Preferred Certification: NISM Series XIX-C (AIF Managers) certification.
- Key Competencies: Excellent analytical, organizational, and communication skills; high attention to detail and ability to interpret regulatory and financial data.
- Education: Bachelor’s degree in Law, Accounting, Finance, or a related field.
