IDGX is the Web3, AI, and emerging-technology fund of IDG Capital Vietnam. We are an early-stage venture capital fund backing bold founders building the future — investing in high-growth technology startups across frontier areas such as Web3 (blockchain and digital assets), artificial intelligence, and other emerging technologies, through both equity and token-based investment models.
We are looking for a dedicated and detail-driven Legal Associate to support our legal and compliance function and work closely with our General Partners as we scale globally. This is a hands-on role with broad exposure across deal execution, compliance, and the fast-moving worlds of digital assets and AI.
Key Responsibilities
• Draft, review, and organize legal and investment documents, including term sheets, Shareholders' Agreements, Share Subscription Agreements, SAFEs, and Token Warrants.
• Support legal due diligence for startup investments across Web3, AI, and digital asset projects.
• Maintain and manage corporate records, legal documentation, and compliance files for the fund and portfolio companies.
• Liaise with external counsel and regulatory bodies to ensure smooth deal execution and compliance with local and international regulations.
• Conduct legal research on regulatory frameworks across digital assets, blockchain, artificial intelligence, technology, fintech, and securities law.
• Help develop and implement internal compliance policies, AML/KYC procedures, and risk management practices for digital assets.
• Support the legal aspects of technology transfer, including drafting and reviewing contracts, licensing agreements, and collaboration frameworks.
Requirements
• Law degree (LLB or equivalent); a Master's degree (LLM) is a plus.
• At least 3 years of hands-on experience at a law firm, VC/PE fund, or in-house legal team.
• Working knowledge of corporate law, compliance, or digital asset regulations.
• Strong legal research, analytical, and writing skills.
• Detail-oriented, proactive, and eager to learn in a dynamic, multi-tasking environment.
• Strong written and spoken Vietnamese and English.
• Advantage: understanding of digital assets, blockchain, AI, fintech, and venture capital documentation (e.g., term sheets, cap tables).
