We are seeking an experienced and commercially-minded Venture Capital Lawyer to join our growing international venture capital firm. Our portfolio companies operate across the iGaming, FinTech, SaaS, and Digital Media sectors, some of which we actively support in areas such as marketing, SEO, corporate finance, and accounting.
Key Responsibilities
Draft, review, and negotiate investment and corporate documents — including shareholder agreements, investment agreements, share purchase agreements, and constitutional documents — ensuring robust investor protections.
Support portfolio management activities, including follow-on investments, exits, and governance matters.
Serve as the primary legal point of contact for negotiations and transaction-related matters with portfolio companies, co-investors, and external counsel.
Advise management on venture capital, corporate, and regulatory issues across multiple jurisdictions.
Identify legal risks and provide pragmatic, commercially focused solutions to support investment decisions.
Coordinate external legal advisors and specialists, ensuring high-quality output within agreed timelines and budgets.
Review and draft general commercial agreements, such as employment, service, and advisory agreements.
Qualifications
Qualified lawyer in Europe, holding a Maltese or EU law degree.
Minimum 3 years’ experience in early-stage venture capital, a startup-focused law firm, or a family office investing directly in early-stage companies.
Solid understanding of corporate and commercial law, with international transaction experience.
Knowledge of Maltese and international corporate tax law or investment management regulations is an advantage.
Experience in the iGaming or lead generation / affiliate sectors is considered a plus.
Excellent command of business and legal English, with strong communication and negotiation skills.
Proactive, structured, and capable of working independently in a fast-paced investment environment.
