ROLE DESCRIPTION
The Executive, Legal role supports the Company’s legal, risk management, compliance, and governance functions, mainly for investment-related matters. The role involves assisting with legal documentation, due diligence, and compliance monitoring, as well as coordinating with internal teams and external legal counsel. This is a practical role that ensures regulatory compliance and strong governance throughout the organisation
EDUCATION REQUIREMENTS
Bachelor’s Degree in Law (LLB) from a recognized university
REQUIRED WORK EXPERIENCE
a) Exposure to investment-related legal documentation and corporate governance matters will be an advantage.
b) Minimum 3 years of relevant working experience in:
Legal, compliance, risk management or governance-related functions; and/or Venture capital, private equity, financial institutions, government-linked companies (GLCs), statutory bodies or professional advisory firms would be an advantage.
Exposure to investment-related legal documentation and corporate governance matters will be an advantage
JOB DESCRIPTION
a) Legal
Assist in the preparation, review, administration, and maintenance of legal documentation relating to VentureTECH’s investment activities, including Letters of Offer, Share Subscription Agreements, Shareholders’ Agreements, and disbursement-related documents.
Support legal due diligence exercises for new investments, follow-on funding, and corporate exercises.
Maintain legal documentation trackers, condition precedent (CP) checklists, and post-investment obligation records.
Coordinate with external legal counsel on drafting, execution, stamping and filing of legal documents.
Assist in monitoring contractual obligations, covenants and reserved matters arising from investment agreements.
b) Risk Management
Assist in the identification, assessment, documentation and monitoring of legal, operational and compliance risks;
Support the maintenance and periodic updating of the Company’s risk register, including tracking of mitigation actions;
Prepare supporting documentation for risk-related reporting to Management and relevant Board or Board Committees; and
Monitor risk issues arising from portfolio companies and escalate matters in accordance with internal procedures.
c) Compliance and Regulatory Matters
Assist in ensuring compliance with applicable laws, regulations, and guidelines, including the Companies Act 2016 and applicable policies.
Support monitoring of compliance with internal policies and standard operating procedures.
Coordinate compliance-related documentation, declarations, confirmations and regulatory filings, where applicable.
Assist in internal and external audit exercises by compiling and organizing relevant records and documentation.
d) Integrity and Governance
Support the implementation and administration of the Company’s integrity and governance framework, including anti-corruption and ethics-related policies.
Assist in integrity risk assessments, governance reporting and awareness initiatives.
Maintain proper records of integrity-related declarations, disclosures and governance documentation.
Provide administrative and coordination support for integrity reviews, fact-finding or assessment exercises, as directed.
e) Administration and Coordination
Ensure proper documentation, record-keeping, version control and filing for all legal, risk, compliance and governance matters.
Coordinate meetings and engagements relating to legal, risk and governance matters, including preparation of minutes and action trackers.
Assist in the preparation of internal memoranda, management papers, reports and presentations for Management and Board consideration.
Liaise with internal stakeholders to obtain required information, documents and confirmations in a timely and professional manner.
