About VCMint
VCMint is a venture capital firm and family office (AVNM) that invests its own capital in India, the US, Singapore and other markets. We invest across asset classes, but most of our work is in VC and PE:
Direct investments in early and growth-stage startups, including follow-ons and SPVs
LP commitments to VC/PE funds
Pre-IPO and secondary deals
Companies we own and operate
We have 75+ companies in the portfolio and a small team. You will work directly with the CIO and partners on live deals.
The Role
The role starts on the legal side. Over time it grows into a full investment role covering deal evaluation, portfolio management and fund allocation. How quickly that happens depends on you.
Legal Responsibilities
Review and negotiate term sheets, SHAs, SSAs, convertible notes and SPV documents
Track investor rights across the portfolio: anti-dilution, ROFR, tag/drag, information rights
Manage closings, including CP/CS checklists, board and shareholder resolutions, share allotment and fund transfers
Handle FEMA, ODI/FDI and RBI filings for cross-border investments
Work with company secretaries on ongoing compliance
Review fund documents (PPMs, LPAs, side letters) when we evaluate external managers
Draft documents for acquisitions, earn-outs and debt-to-equity conversions
Maintain the legal repository and a tracker of rights, obligations and deadlines
Brief and manage external counsel
Act as point of contact for all external diligence firms and other agencies
As the role grows
Source and screen new opportunities, and take first calls with founders
Run diligence on business, market, financials and legal, and write the investment memo
Build return, valuation and fee models, and present your recommendation to the investment committee
Structure and negotiate deals with founders and co-investors
Track portfolio companies, flag issues early and prepare monthly portfolio reviews
Support follow-on decisions, fundraises and exits across the portfolio
Take board-level responsibility at companies we own
Evaluate external fund managers and help shape the family office's allocation and liquidity plans
