This role is perfect for someone who brings deep experience in <strong>venture capital financings</strong> and emerging company work, and who also wants to flex across a broader range of strategic legal matters.</p> <p>You'll work directly with founders, structure companies, and serve as outside GC for a variety of different businesses. This is a high-trust, high-impact role designed for a lawyer who moves fast, thinks commercially, and wants to help build a new kind of firm.</p> <p>This is a rare opportunity to get in early and help shape the future of a modern firm. We offer a rewarding, founder-style compensation structure, with meaningful upside tied to contributions, giving you the chance to build long-term value in something you're helping create - all with the support and infrastructure of a forward-thinking practice.</p> <h2><strong>Key Responsibilities</strong></h2> <ul><li>Lead venture financings (SAFEs, convertible notes, preferred stock), from term sheet to closing, including negotiation and investor counsel interactions</li><li>Advise on startup structuring: formations, founder equity splits, IP assignments, holding companies, and cap table planning</li><li>Advise on corporate governance and equity matters, including restricted stock, option plans, 83(b), and investor onboarding</li><li>Serve as outside general counsel on day-to-day legal matters, board governance, employment questions, and commercial contracts, balancing legal risk and business strategy</li><li>Stay adaptable and willing to learn new verticals and areas of law as client needs evolve</li></ul> <h2><strong>Requirements</strong></h2> <ul><li>Juris Doctor (JD) from an accredited law school</li><li>5+ years of corporate experience, with significant focus on venture capital financings and emerging companies</li><li>Trained at a Big Law firm or elite boutique with substantial exposure to venture capital transactions (company-side or investor-side), emerging company work, and/or M&A</li><li>Active attorney license in good standing</li><li>Confident owning matters and managing client relationships</li><li>Enjoy the pace and energy of early-stage companies and speak the language of founders</li><li>Comfortable advising across a wide range of matters (and interested in learning what you don't yet know)</li><li>Operate with a business-first mindset: practical, fast-moving, and solution-oriented</li><li>Want to build a new type of law firm with us</li></ul> <p><strong>Bonus Points For:</strong></p> <ul><li>Experience with M&A, secondary sales, or more complex capital events</li><li>Familiarity with tech stack tools</li><li>Interest in productizing legal services or experimenting with tech and AI-enabled delivery</li></ul> <h2><strong>What We Offer</strong></h2> <ul><li>Competitive full-time base salary (commensurate with experience)<br></li><li>Additional earning potential commensurate with the firms growth</li><li>Flexible, fully-remote team culture - no face-time expectations or big-firm posturing</li><li>Tech, automation, and support to help you succeed</li><li>Transparent fee-sharing structure for client origination and key accounts</li><li>Real ownership: you'll help shape how we grow, operate, and innovate</li></ul>
