We are seeking a Chief Operating Officer (COO) to join the management team and help scale the operational, governance, and regulatory infrastructure of the organization. The COO will report directly to the Board of Directors and will be responsible for establishing and maintaining the firm’s operational governance framework.
Position Overview
The Chief Operating Officer (COO) will be a senior member of the management team of Constructor Capital AG, responsible for overseeing the firm’s operational framework, governance processes, regulatory readiness, and internal infrastructure.
The COO will ensure that the firm operates efficiently within the Swiss regulatory environment, including coordination with service providers, oversight of internal controls (IKS), and maintaining operational discipline across investment governance, portfolio monitoring, and investor reporting.
The role requires a senior operator with experience in regulated financial environments, including treasury management, liquidity planning, operational governance, and internal control frameworks. Experience building financial and operational infrastructure within regulated institutions or investment platforms is highly valuable.
Key responsibilities
Operating Model & Investment Governance
Run the advisory / portfolio management operating model, including deal pipeline workflow, investment committee (IC) preparation, execution checklists, and post-investment monitoring cadence.
Coordinate preparation of Investment Committee materials and documentation.
Ensure consistent decision trail documentation and conflict disclosures.
Maintain structured investment workflow processes from pipeline through portfolio monitoring.
Support portfolio governance through consistent valuation documentation and reporting coordination.
Management Company Operations
Oversee day-to-day operational management of the management company.
Lead budgeting, liquidity management, cost control, and fee/income monitoring.
Manage relationships with key service providers including legal, tax, IT, fund administration, and compliance support.
Coordinate operational activities across the jurisdictions in which the group operates.
Internal Controls & Governance
Maintain the Internal Control System (IKS) for the management company.
Coordinate operational oversight of outsourced service providers.
Ensure appropriate segregation of duties, approvals, and recordkeeping.
Establish and maintain governance documentation and operational procedures.
Ensure that operational processes remain aligned with Swiss regulatory expectations
Support the maintenance of risk management policies and operational risk documentation.
Compliance & Risk Coordination
Coordinate AML/KYC obligations applicable to the manager/adviser.
Maintain registers and policies relating to:
conflicts of interest
personal account dealing
gifts and inducements
complaints log
Support ongoing regulatory monitoring and compliance reporting in coordination with external advisers.
Regulatory & Audit Readiness
Participate in regulatory and audit readiness processes, including:
policy documentation
staff training records
incident registers
regulatory review responses
Coordinate operational responses to FINMA or regulatory organization (RO) reviews
Maintain documentation supporting governance, risk management, and outsourcing oversight.
Board & Governance Support
Organize Board of Directors and Investment Committee materials.
Coordinate meeting logistics, documentation, and minute preparation.
Maintain corporate governance documentation and decision records.
Ensure proper documentation of conflicts disclosures and governance approvals.
Financial & Treasury Coordination
Oversee liquidity planning and financial resilience of the management company
Monitor cash flow, operating runway, and financial resource planning
Monitor liquidity buffers and financial resources in line with internal risk management policies.
Coordinate treasury activities including Foreign Exchange exposure management and banking relationships
Investor & Reporting Coordination
Coordinate preparation of investor and LP reporting materials, including:
portfolio updates
factsheets
performance summaries
Ensure reporting consistency based on data provided by the fund administrator and portfolio companies.
Support preparation of materials for future fundraising and investor due diligence.
Required Skills & Expertise
Education
Master’s degree in finance, Economics, Mathematics, Engineering Economics, or a related quantitative discipline.
Professional Experience
10+ years of experience in financial services, asset management, banking, or venture capital environments.
Experience operating within regulated financial institutions or regulated investment environments.
Strong background in treasury, liquidity management, financial governance, and operational infrastructure.
Experience implementing internal controls, financial reporting frameworks, and governance processes.
Demonstrated ability to build operational functions and policies from the ground up.
Familiarity with AML/KYC frameworks and financial regulatory compliance environments.
Experience working within regulated banking, asset management, or financial services environments, including familiarity with regulatory ratios, liquidity frameworks, or operational compliance structures.
Experience supporting investment governance within asset management, banking, or investment platforms is advantageous.
Additional Qualifications
Professional certifications such as FRM, CFA, or similar risk/finance credentials are highly desirable.
Experience working with multi-jurisdictional financial structures and investment vehicles
Strong understanding of risk management, financial controls, and regulatory constraints.
